UK: RAM Active Media Acquires BRANDPLAY UK Limited and Its Shopping Mall Network Of Interactive Floor Projection Systems

RamvisionlogoRAM Active Media has acquired BRANDPLAY UK Limited, a subsidiary of BRANDPLAY GROUP Limited. Brandplay UK has secured advertising rights on an installed network of 11 large format (3 metre by 2 metre) interactive floor projection systems in major UK shopping malls.

The interactive projection system will now trade under the brand name of RAM Interactive and be managed by the commercial and sales teams of RAM Vision.

According to the press release, “RAM will pay an initial consideration at net asset value of £130,000 satisfied through the issuance of 6,500,000 new RAM ordinary shares of 1p each at 2p per share. In addition, a further issue of 3,500,000 new RAM ordinary shares of 1p will be triggered on completion of the first successful interactive campaign under the RAM Interactive brand. Further earn out payments may be made out of revenues earned from the network. BRANDPLAY GROUP Limited has agreed to a 12 month lock in with regards to the new RAM shares.”
